Our client has exclusively retained Solutus Legal Search to assist with its search for an Associate General Counsel – Corporate, Transactions & Finance. This is a highly visible leadership role reporting directly to the Chief Legal Officer and serving as a key strategic advisor across the organization. The successful candidate will provide sophisticated legal counsel on corporate transactions, finance and tax matters, governance, employee benefits, international operations, and other strategic business initiatives. This position is based in Milwaukee, Wisconsin. Over time, this attorney will have the opportunity to serve as successor to the CLO.

Responsibilities Include:

• Support and, in certain cases, lead mergers, acquisitions, and other strategic corporate transactions.
• Conduct and oversee legal due diligence and assist in structuring, negotiating, and executing complex transactions.
• Partner with corporate development, finance, and external advisors on deal assessment, strategy, and execution.
• Provide legal support on financing arrangements, capital allocation initiatives, and corporate structuring matters.
• Collaborate with internal and external finance and tax advisors to align legal and tax strategies.
• Support corporate governance, entity management, and the development of corporate policies and compliance programs.
• Advise on employee benefit plans, including retirement and health programs, and ensure compliance with ERISA and related regulations.
• Provide legal guidance on international operations, cross-border transactions, and global regulatory compliance.
• Support the contract management function and provide attorney-level guidance on commercial agreements.
• Serve as a trusted advisor to executive leadership and business stakeholders, communicating legal risks and practical solutions effectively.
• Develop and manage relationships with outside counsel while driving efficient and business-focused legal support.

The ideal candidate will possess 12+ years of legal experience, including a combination of top law firm and/or sophisticated in-house experience supporting corporate transactions, finance-related matters, corporate governance, and strategic business initiatives. Experience with employee benefits, international operations, tax structuring, and complex commercial matters is strongly preferred.
