Our client, a publicly-traded global technology company, is looking to hire an experienced Senior Corporate Paralegal to support corporate governance and legal operations, including board and committee documentation, SEC filings and subsidiary management. The role will report to the General Counsel. The company is located in San Jose, CA with a three days a week in-office requirement.
Responsibilities will include:
Board of Directors & Subsidiary Management
- Assist with preparing documentation for board of directors and committee meetings, including board agenda, calendar invites, minutes, and information packages for Board members.
- Maintain detailed, accurate, and easily accessible records to support corporate compliance matters and best practices as they pertain to corporate governance.
- Prepare written consents, resolutions, powers of attorney, and other corporate documentation as needed for all corporate entities.
- Maintain corporate and subsidiary records.
- Prepare corporate subsidiary consents and resolutions, including annual meeting, stockholder, and board action.
- Assist with the formation, merger or dissolution of entities.
- Fulfill global signature requests for our corporate and subsidiary directors and officers, including wet signatures, notarizations, and apostilles.
SEC Reports and Annual Shareholder Meeting
- Assist in preparation of Proxy Statements, SEC Reports, and Section 16 requirements, and work closely with stock administration and finance related to disclosures therein:
- Prepare Form 3s, 4s, and 5s for Section 16 Officers and Directors under Section 16 and maintain EDGAR access codes.
- Support proxy solicitation process, including development of proxy timeline and proxy backup materials; work with the Company’s transfer agent and stock administration on shareholder record keeping.
- Support and administration of D&O questionnaires.
Other
- Maintain corporate legal files, including director and officer files, board books, minute books, director meeting attendance records, D&O questionnaires, and the like.
- Interface effectively with internal groups and external groups (outside counsel and auditors) to provide corporate information and general corporate assistance.
- Create P.O.’s as needed and coordinate with Finance to ensure timely invoice and other payments are processed and issued in a timely manner.
- Partner with finance, stock administration, and other legal teams to support a broad range of matters, including those related to entity management.
- Support broader legal team on other matters, including commercial contract administration and collecting signatures via DocuSign or otherwise.
The ideal candidate will have:
- 6-7+ years of corporate paralegal experience, with a combination of law firm and in-house public company experience preferred.
- Bachelor’s degree and a Paralegal Certificate from an ABA-approved program (preferred but not required).
- Valid California Notary Public commission.
- Prior experience and expertise in the preparation of SEC Section 16 filings, corporate governance, preparation of resolutions and written consents, and related documentation.
- Experience with board and committee meeting preparation.
- Good business judgment and high ethical standards.
- Proficient with Microsoft Excel, Adobe, Microsoft Office, practice-related software, and DocuSign.
- Ability to work independently, prioritize, and manage multiple projects concurrently.
- Strong interpersonal, presentation, organizational, and written communication skills. Keen attention to detail is a must!

Compensation is targeted at a base salary range of $175-200K, plus bonus, equity, and benefits. Base salary and overall compensation will be determined by several factors, including the candidate’s qualifications and years of directly relevant experience.
