Our client, an innovative, mission-driven, medical technology, publicly-traded corporation is seeking a Lead Counsel to report to the General Counsel and serve as a key partner to leadership and operational teams. The role will primarily focus on both commercial and pre-commercial contracting, especially clinical contracting, while also providing broad support across corporate, litigation, employment, and compliance matters. The organization is in a growth phase, with its first commercial product for surgery recently launched in the United States and multiple products in development and a strong global clinical trials pipeline.
Ideal Candidate
- J.D. degree and active legal bar admission in at least one U.S. jurisdiction.
- 5–8 years of combined law firm and in-house experience—strong preference for candidates with medical device or life sciences backgrounds.
- Demonstrated expertise in drafting, negotiating, and managing complex contracts; familiarity with U.S. and international partnering, clinical contracting or commercial contracting would be highly valued.
- Broad-based legal experience in litigation, employment, compliance, FDA law, and corporate governance.
- Comfortable in a lean team setting, adept at balancing both strategic and hands-on work, and committed to delivering practical, business-first legal advice.
Core Responsibilities
- Draft, review, negotiate, and manage a range of commercial agreements, with a primary initial focus on clinical trial contracts.
- Provide legal guidance on a wide range of domestic and international commercial and pre-commercial matters, including regulatory complexities.
- Support corporate governance, compliance initiatives, employment matters, and risk management.
- Partner cross-functionally to align legal and business strategies.
- Design, refine, and implement contract management tools and legal workflows to improve efficiency.
This hybrid position is located in Hayward, California with flexible scheduling options. The anticipated base salary range is $220,000–$250,000, with total compensation including bonus and equity opportunities.
