Solutus Legal Search has been exclusively engaged by our client, a highly successful incubator and accelerator hub focused on the healthcare—especially medical device—sector, to assist in hiring an intelligent, motivated, and experienced Corporate Paralegal or Corporate Legal Specialist.
The Role
Reporting to the Chief Financial Officer, and working closely with business and legal team members, this hire’s responsibilities will include:
- Supporting corporate secretary
- Meeting minutes and consents
- Corporate Document retention
- Listing of Directors, Officers, counsel
- Foreign entity administration
- Equity and debt record keeping
- Delaware and California corporate compliance
- Supporting corporate transactions
- Data room administration
- Account management
- Permissions
- Content
- Closure
- Tracking of investor interest and follow up
- Supporting CFO/CEOs with investor communications about financing logistics
- Supporting CFO/CEOs by facilitating document review and iterations with investors and counsel
- Supporting legal counsel with disclosure materials and equity metrics required in the financing documents
- Supporting closing: document execution, funding confirmations, investor questions
- Supporting post-closing activities: government filings, executed document distribution
- Data room administration
Education and Experience
- Bachelor’s degree preferred
- Paralegal certificate preferred
- 4+ years of experience as a corporate paralegal or corporate legal specialist, ideally in a startup, venture capital firm, or law firm serving startups that require equity funding.
- Familiarity with corporate governance, contracts, and basic private company securities compliance.
- Carta (or other cap table management software) experience required.
- Conga (or other contract management software) experience is a plus.
- Exceptional attention to detail and organizational skills.
- Strong written and verbal communication skills.
- Ability to manage multiple projects and deadlines.
- Proficiency in Microsoft Office

Compensation is targeted at a base salary range of $90,000 to $110,000, plus equity and benefits. Base salary and overall compensation will be determined by number of years of directly relevant experience and history of success.
