Our client, a rapidly growing, well-funded startup in stealth mode is looking to add a Commercial Counsel to its team. The Commercial Counsel will focus on representing and counseling the company and its related entities in drafting, negotiation and execution of operational contracts. This role can operate out of any our client’s Washington DC, SF Bay Area, Los Angeles, New York City or Boston offices (hybrid in-office requirement).

Responsibilities:

  • Navigate and negotiate complex commercial relationships with finesse
  • Review, draft, and negotiate contracts with an eye towards how contract terms impact broader organizational goals and development efforts
  • Provide advice and support to clients on contracts-related issues as they arise
  • Ensure compliance with applicable domestic and international laws and regulations
  • Conduct research on emerging issues and trends in contracting and provide guidance to the company’s contracting teams
  • Develop and implement policies and procedures related to contracting activities
  • Collaborate with other members of the legal and contracts team and others within the organization to ensure effective and efficient management of contracts

 

Experience Required

  • JD from an accredited law school and active bar license in good standing in the state in which you currently reside
  • Minimum of 8 years’ experience as a Commercial Counsel, including a minimum of 5 years’ experience working with international contracts
  • Hands-on experience counseling teams around international transactions, with the ability to navigate complex legal terrain.
  • Current or recent national security clearance is preferred
  • Experience working with (a) procurement contracts, (b) U.S. or foreign government or military contracts, (c) autonomous vehicles in context, (d) strategic alliance and other partner agreements, and (e) payment guarantees in a commercial context is a plus

The current targeted base salary for this position ranges from $275K – $310K, plus equity and a potential bonus. Actual compensation is determined based on a number of factors, including a candidate’s qualifications, years of directly relevant experience, and geographic location.
