Our client, a rapidly growing, mission-driven AI healthcare technology company, has exclusively retained Solutus Legal Search to assist in its search for a Senior Counsel, Commercial. Reporting directly to the General Counsel, this attorney will serve as a trusted partner to stakeholders across the company, lead important commercial matters, and help build the agreements, playbooks, and legal processes needed to support significant continued growth.
The company is using AI and technology to help patients access critical medications more quickly and efficiently and is already partnering with some of the world’s leading biopharma companies.
This is a unique opportunity for a practical, business-minded commercial attorney who enjoys operating with significant ownership and autonomy. The successful candidate will work closely with the General Counsel and teams across the business, move comfortably between commercial and healthcare regulatory questions, and help the company navigate fast-moving and often novel issues as it scales.
Responsibilities
- Draft, negotiate and manage a broad range of commercial agreements, including vendor, partner, data, life sciences and other strategic business agreements.
- Partner with business stakeholders on legal and compliance questions involving commercial operations, healthcare and clinical activities, marketing, privacy and data governance.
- Develop scalable contract templates, negotiation playbooks, fallback positions, escalation guidance and technology-enabled workflows that help the business move quickly and thoughtfully.
- Own and update the company’s core platform agreements, including provider terms of service, privacy notices and other website terms, ensuring alignment with product, regulatory and operational requirements.
- Provide practical guidance on privacy and healthcare data matters, including HIPAA/HITECH, data use and sharing, business associate agreements and related operational questions.
- Support healthcare regulatory and compliance matters, including questions arising under the Anti-Kickback Statute, applicable OIG guidance and other requirements affecting the company’s evolving business model.
- Flex into other legal priorities as the company grows, including product counseling, AI governance, corporate matters and emerging regulatory issues.
Qualifications
- Approximately 5-8+ years of legal experience, with meaningful experience in commercial contracts and business counseling; more senior candidates will also be considered.
- Demonstrated ability to independently handle complex commercial matters and provide clear, practical advice in a fast-moving environment.
- Healthcare or health technology experience is strongly preferred; experience in biopharma or another highly regulated technology industry will also be considered.
- Familiarity with healthcare regulatory and privacy issues, including HIPAA/HITECH and fraud and abuse laws, or a strong interest in developing deeper expertise in these areas.
- Experience in a growth-stage company, or genuine enthusiasm for working in a high-growth environment with evolving priorities and limited infrastructure.
- Strong business judgment and a low-ego, proactive working style, with the ability to move quickly, take ownership and collaborate effectively across functions.
- Law firm and in-house experience is preferred, although strong law firm candidates with relevant commercial, healthcare or life sciences experience will be considered.
- J.D. from an accredited law school and active membership in at least one U.S. state bar.
Location and Compensation
This position is based in New York City and requires five days per week in the company’s SoHo office.
The anticipated base salary range is $250,000 to $305,000, plus equity and benefits. Actual compensation will depend on experience and qualifications.
