Our client, a thriving global publicly traded technology leader, has exclusively retained Solutus Legal to assist the executives with hiring a Senior Counsel to join its Corporate Legal Group. This role will focus on a suite of corporate responsibilities including corporate finance, corporate securities, compliance, and M&A. This is a fantastic opportunity to gain exposure to a wide range of general corporate matters in a dynamic and collegial environment and to work cross functionally with executive members of the finance team.

Responsibilities include:

• Drafting, negotiating, managing, and advising on corporate finance transactions including debt offerings, credit facilities, and term loans.
• Assisting with SEC reporting and securities compliance matters.
• Assisting with corporate compliance matters including internal investigations, anti-corruption and conflict of interest pre-approvals, and employee trainings. May include some international travel.
• Assisting with drafting and preparing annual Corporate Responsibility Report and related regulatory matters.
• Advising on strategic transactions, including M&A.

Key Qualifications:

• JD and licensed or eligible to practice law in the state of California.
• 4-6+ years of experience in corporate finance, and specifically, capital markets, debt offerings, credit facilities, and term loans, and general corporate and securities. M&A experience is a plus. Law firm experience is required. In-house experience is a plus but is not required.
• Excellent communication, listening, and problem-solving skills.
• Strong attention to detail.
• Responsive, strong work ethic, pro-active, conscientious, with a roll up your sleeves attitude.

The current target base salary for this position ranges from $220,000 – $250,000, plus a 35% target bonus and equity. Final compensation will be determined based on several factors, including a candidate’s qualifications and years of directly relevant experience.
