Description

Our client, a leading global specialty chemicals company, has exclusively retained Solutus Legal Search to assist its executives in hiring a sophisticated and accomplished attorney to serve as the Vice President, Assistant General Counsel and Chief Compliance Officer.  The role is based in the Company’s US headquarters just outside of Philadelphia in Radnor, Pennsylvania.  This is an excellent opportunity to work at an expanding pre-public company with an entrepreneurial, fast-paced, and dynamic culture.

The Company operates in over 80 countries around the world and the Chief Compliance Officer will oversee and direct the Company’s international compliance program and serve as lead counsel for compliance, anti-corruption (including FCPA/UK Anti-Bribery), ethics, privacy, competition/anti-trust, and trade/export matters.  The Chief Compliance Officer will also help manage investigations on a worldwide basis in conjunction with the Company’s regional counsel. The position reports directly to the Executive Vice President and General Counsel. In addition to extensive interaction with the General Counsel and regional business teams, this role also interfaces regularly with the Company’s Board of Directors.  The Chief Compliance Officer will manage a team that includes a compliance manager/privacy officer, trade compliance professionals, and compliance attorneys based in Asia.

The ideal candidate with have strong academic credentials and 10+ years of experience with a top law firm and/or global corporation in investigations, compliance, and regulatory enforcement.  Experience conducting investigations (including interviews) and with anti-corruption is required.  Experience running a global compliance program is highly desired.

Among other responsibilities, the Chief Compliance Officer will:

  • Manage the overall preparation, testing, and monitoring of the Company’s compliance with government regulations.
  • Review and revise the Company’s existing compliance policies and procedures to maintain an effective compliance program and to identify and address potential areas of improvement regarding compliance. The compliance areas include:
    • Anti-Bribery including The Foreign Corrupt Practices Act and UK Bribery Act;
    • Competition Law including domestic and international regulations;
    • Domestic and international export control regulations; and
    • Domestic and international privacy regulations including GDPR compliance
  • Identify trends and changes in applicable laws, rules, regulations and standards, and implement necessary modifications to policies and procedures.
  • Respond to alleged violations of rules, regulations, policies, procedures and standards of conduct, and ensure, with the General Counsel, a proper resolution of such allegations. Oversee a system for uniform handling of such allegations and actual violations. Collaborate with other departments to direct compliance issues to the appropriate parties for investigation and resolution.
  • Ensure proper reporting of violations or potential violations to duly authorized internal staff and to enforcement agencies, as appropriate and/or required by law.
  • Design, execute and manage education, training and communications programs for employees where functions or responsibilities involve compliance with laws or standards of conduct, including introductory training for new employees and ongoing training for all employees. Ensure proper documentation and record-keeping of compliance activities (e.g., contract compliance reviews, investigations, and training certifications). Partner with Finance, HR, and other functions, as needed and align corporate goals and strategy with ethics and compliance policies and principles.
  • Monitor the performance of the Company’s compliance and ethics program and related activities, measured against internal and external benchmarks, with periodic audits, taking appropriate steps to improve effectiveness of the program and ensuring that management has appropriate mechanisms in place to track and verify implementation of corrective actions, when applicable. Provide reports on a regular basis to keep the management team informed of the operation and process of compliance efforts and of any significant compliance issues.
  • Provide guidance and regional direction to local teams and ensure that FCPA/Anti-Bribery compliance and ethics are viewed as a partner with the business operations.
  • Work with regional compliance leads and local in-house lawyers to identify and assess existing and emerging country and internal/industry business practices, issues and areas of opportunities for potential risks.
  • Work collaboratively to develop and execute a risk-based approach to implementing country ethics and compliance programs that focus on appropriate risk areas (e.g., GDPR, competition law, trade, etc.).
  • Ensure global and regional compliance methodology and programs are integrated and well documented to adequately demonstrate program effectiveness.
  • Conduct site visits and transaction reviews, to monitor status and evolution of the compliance program.
  • Inform management of key issues and status of compliance program through regular communication, staff meetings and issuance of appropriate periodic reports, alerts, and minutes. Oversee creation of content for organization-wide communications regarding compliance.
  • Gather and assess data and information on compliance-related queries, including forms and questionnaires such as the Third Party FCPA Review Forms, etc.
  • Manage compliance and ethics projects on a day-to-day basis with a focus on quality and timeliness of deliverables. 

Compensation is very competitive and includes bonus and equity.  Because of its international focus, the post requires travel of up to 25% of the time and there are often telephone meetings in the early morning or evening hours.  The Company will cover the cost of relocation if the successful candidate resides outside of the Philadelphia area.
