Description

Our client, a cloud-led data-centric software company and multi-billion-dollar technology leader, has exclusively engaged Solutus to assist the Company in its desire to add a Product Counsel/Senior Product Counsel to its legal team.

Our client is seeking a motivated lawyer to join their award-winning legal department, with a focus on our client’s rapidly expanding cloud storage services.  You will partner with engineering, product, other business teams on all phases of the product development life cycle, tackling a wide range of topics.  More specifically, you will help ensure compliance with various partnerships, including the protection and segregation of the confidential information and IP.  In this role, you will need to have an excellent judgment on confidentiality, product requirements, open source, security, regulatory, revenues, and expenses matters.

This position is based in San Jose, California but our client will also consider other locations.

Responsibilities Include:

  • Partner with product teams within the public cloud services organization as well as other business teams on all phases of the product development life cycle--conception, design, MVP definition, roadmap, commercial release, support, and end-of-life.
  • Embedded within the product organization to help ensure contractual compliance with various partnerships and other legal requirements.
  • Partner closely with Product Management teams to provide pragmatic and actionable advice on a variety of legal and regulatory topics, including open source, export compliance, privacy by design, data inventory and flow, intellectual property protection, open source licensing and compliance, finance, revenue recognition, product and data security.
  • Help build and participate in scalable and effective processes for legal review and launch of new products.
  • Work with Product Management, Finance, other legal teams, and stakeholders to structure and draft product-specific terms to be incorporated into standard commercial templates, draft custom templates (such as SDK licenses, API or specification licenses), terms of use, and product policies.
  • Assist Product Management and Finance to optimize agreements for desired revenue recognition and COGS models (e.g., software, hardware, recurring services/SAAS, leases, etc.)  Partner with others on updates of templates, processes, playbooks as business models evolve.
  • Identify interdependencies to help alignment/approvals among stakeholders from various business, technical, and legal groups.  Ability to help find solutions that balance between enabling the business and managing its associated risks.
  • Work with Product Management and other legal teams to develop legal framework for supporting planned and unplanned feature and product deprecation and obsolescence
  • Extensive knowledge of laws and regulations as they apply to cloud services providers (e.g., privacy, data handling, security, compliance requirements), cloud service customers, revenue recognition issues, and co-location services contracts.

The following qualifications are required:

  • JD with at least one state bar membership and eligible to practice in your state of residence.
  • 6+ years of attorney-level experience in a law firm or in-house legal department supporting technology licensing transactions for customers in key cloud services or SAAS markets.
  • Strong background in advising, structuring, drafting, and negotiating technology transactions, including partner agreements, OEM relationships, inbound technology licenses, joint development, collaboration, joint solutions, strategic alliances, software-as-a-service, technology acquisitions, and professional/hosted services.
  • Strong work ethic and self-starter, with a growth mindset.
  • Strategic thinker, but can also be detail-oriented, ability to simultaneously manage multiple projects, strong project management and organizational skills, work well under pressure and deadlines.
  • Excellent team player and interpersonal skills; must work well in fast-paced, highly collaborative, team environment.
  • Commitment to diversity, inclusion, and belonging.

  • Strong personal communication skills, both written and oral.
