Our client, an industry leader and provider of modeling, data analytics, software and services to insurers, reinsurers, brokers, capital markets, and corporations, is seeking a Director of Legal to join its team. The person in this role will have the opportunity to work with a collaborative and sophisticated team and will support the company’s sales organization by negotiating SaaS, technology licensing, and services agreements as well as the opportunity to work on other legal matters and projects.


  • Draft, review, assess, and negotiate a wide range of domestic and international sales agreements, including SaaS, technology licensing agreements, services agreements, non-disclosure agreements, and other commercial contracts.
  • Supporting and carrying out business policies and practices, including preferred contract terms and compromise positions; gaining familiarity with and observing compliance policies; navigating privacy and information security issues relating to SaaS and cloud-based products; and observing revenue recognition policies in the preparation and conclusion of contracts. The successful candidate must also have the ability to explain these policies and procedures clearly to others.
  • Working cross functionally with sales, operations, finance, product, support and delivery teams in the lines of business as well as with outside counsel.
  • Providing legal advice on a wide range of issues and ongoing recommendations regarding improvement of processes and policies.
  • Opportunity to work on other matters and legal department projects, such as IP, corporate governance and partnerships with complementary technology and service providers.

The ideal candidate will possess:

  • 8+ years of legal experience. Combined law firm and in-house experience strongly preferred with a law firm focus on IP licensing and/or technology transactions.
  • Experience drafting and negotiating SaaS agreements, technology licensing agreements, services agreements and other commercial transactions and supporting sales teams.
  • Strong understanding of various types of software licensing and services transactions, subscription-based business models and familiarity with software revenue recognition principles.
  • Experience in insurance, banking and financial services or a technology / software company is a strong plus.
  • JD from an accredited law school and member in good standing with the state bar of residence.
  • Strong analytical and writing skills.
  • Team oriented, with exceptional interpersonal skills, a strong sense of humor, unquestionable ethics and integrity, and sound judgment.
  • Ability to communicate professionally and effectively, write clearly and concisely, and manage people and tasks to deadline.
  • Organized and hard-working, with the ability to thrive in a fast-paced work environment and manage numerous projects simultaneously under deadline pressure.
