The ideal candidate will possess 3 - 5 years of M&A and other relevant corporate transaction experience. Top law firm experience servicing emerging growth and publicly-traded technology companies is required. Local candidates only (San Francisco Bay Area).
The successful attorney must possess the “soft skills” required to thrive in our client’s culture. S/he must be collaborative with legal and business teams, flexible, team-oriented, selfless, secure, confident, willing to learn and approachable. In addition, s/he must possess the judgment to know when to escalate issues within the legal team and have the ability to work together to create solutions.
This attorney will be responsible for strategizing and managing the legal life cycle of the company’s global M&A practice and will work closely with the company’s executive, corporate development, legal and other cross-functional teams. S/he will provide advice and guidance on acquisitions, investments and other strategic corporate transactions, will advise on deal structure and issues, conduct and manage due diligence, draft and negotiate deal documentation, coordinate deal closings, track post-closing requirements and monitor strategic investments.
The successful attorney will also support corporate governance and compliance matters, including managing corporate and compliance matters for U.S. and foreign subsidiaries. In addition, this lawyer will have the opportunity to assist with SEC public reporting disclosures, including 10-Ks, 10-Qs, 8-Ks, proxy statements and Section 16 filings, and licensing transactions. S/he will work closely with outside counsel and must possess the ability to effectively manage the relationship.
