Our client, a publicly traded global healthcare company focused on innovative therapies, has exclusively retained Solutus Legal to assist in hiring a Corporate and Securities Counsel for its growing legal team. Our client designs, develops, manufactures and markets medical devices and has a broad portfolio of products that addresses challenging medical conditions and significant clinical needs.
The successful candidate will have 5-10+ years of experience with corporate governance and public company SEC reporting, as well as a demonstrated ability to handle a variety of complex corporate transactions. Job responsibilities include:
• Assisting with SEC and NYSE compliance and filings, including reports on Forms 10-K/Q, proxy statements and oversight of Section 16 filings.
• Lead all corporate governance efforts, including preparation of board and board committee materials and minutes, entity management and intercompany governance.
• Participate in preparation of quarterly earnings materials and advise on securities law compliance and disclosure matters.
• Providing legal support for general corporate matters, operations, human resources, communications and public relations, investor relations, facilities, insurance and risk
The successful candidate will be comfortable in a fast-paced environment, responsive, business-minded, team-oriented and pragmatic. S/he will have a willingness to roll-up his or her sleeves and pitch in and work collaboratively. S/he will work closely with a cohesive legal team, company executives and a variety of business units to support the company’s development of ground-breaking technology and its mission to improve patients’ lives.
Compensation is competitive and includes equity.
